Terms and conditions

These terms explain what working with Labs involves: what we do, what you do, how quotes, payment and revisions work, and who owns what at the end. We have written them in plain English. If anything is unclear, ask us before you agree to them.

Who we are

Labs is a small design and build studio. We make websites, software, mobile apps and automation, and we trade under the name Labs.

In these terms ‘we’, ‘us’ and ‘our’ mean Labs, and ‘you’ means the person or business working with us. The quote you accept names the party you are contracting with.

You can reach us at hello@labs.online.

When these terms apply

These terms apply to every project we agree with you, together with the written quote you accept. If the quote and these terms ever disagree, the quote wins.

We may update these terms. The version that applies to your project is the one shown here on the day you accept your quote.

Using this site

You are welcome to read this site, use the cost calculator and book a call. Please do not copy its design, words, photographs or code for your own use, try to break or overload it, or use it for anything unlawful.

The cost calculator gives an estimate, not a quote. Prices on this site are shown in euros and can change at any time; the price that binds us both is the one on the quote you accept.

The first call

The first call is a free 30-minute video call about your idea. Booking it does not commit you to anything, and it does not commit us to taking on the project. You can cancel it with the link in your confirmation email.

Quotes

After the call we send you a written quote. It sets out what we will make, what is included (pages, screens, revision rounds), the price, the payment schedule and the timing we expect. Anything not in the quote is not included, but we are always happy to quote for it.

A quote is valid for 30 days unless it says otherwise. It says whether any tax applies to the price.

Agreeing and paying

Our agreement starts when you accept the quote in writing (a reply by email is enough) and we confirm it.

You pay in the way and on the dates set out in the quote. Where the quote asks for a deposit, we start work once it is paid.

If a payment is late, we may pause the work until it is made. We will always tell you before we do.

How the work runs

We agree a plan with you at the start, and you can follow every step in your client dashboard. We do the work with reasonable care and skill, and we keep you up to date.

To keep to the plan we need your content, feedback and approvals when we ask for them. If they arrive late, the dates may move, and we will agree new ones with you.

Revisions and changes

Your quote says how many rounds of revisions are included. A round is one set of changes you send us together.

Changes beyond those rounds, or a change to what you want made, may be quoted as extra work. We will always tell you the price and ask before we charge for it.

What you give us

You are responsible for the content you give us (words, photographs, logos, data, logins) and for having the right to use it. Please do not send us anything you do not have permission to share.

We use what you give us only to do your project, and we keep it confidential.

Who owns the work

Once you have paid in full, the finished designs, code and brand pieces we make for you are yours, except for the parts below.

We keep the tools, methods, templates and general know-how we bring to every project, and we give you a permanent licence to use any of them that end up in your work. Third-party items, such as fonts, stock photographs or software libraries, stay under their own licences, and we will tell you about any that need a paid licence.

Until you have paid in full, we keep ownership of the work, and you may use it only to review it.

Once your project is public, we may show it in our portfolio, unless you ask us not to.

Hosting and other services

Your project may rely on services run by other companies, such as hosting, domains, email, payments or app stores. They have their own terms and prices. Where we set them up or run them for you, your quote says so, and we are not responsible for how those companies run their services.

Cancelling

If you are a consumer, you may have a legal right to cancel within 14 days of accepting the quote. If you ask us to start work within those 14 days and then cancel, you pay for the work done up to that point.

Otherwise you can stop the project at any time by telling us in writing. You pay for the work done up to that point, and your quote says how any deposit is treated. We hand over everything you have paid for.

If something we deliver is not as described in your quote, tell us and we will put it right. If we cannot, we will refund what you paid for that part of the work.

Our responsibility to you

Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

If you are a business, we are not responsible for indirect losses such as lost profits, lost data or lost opportunities, and our total responsibility to you for a project is limited to the amount you paid us for it.

If you are a consumer, we are responsible only for losses that were foreseeable when we agreed the project, and nothing here takes away your legal rights.

Ending the agreement

Either of us can end the agreement in writing if the other seriously breaks these terms and does not put it right within 14 days of being asked. If it ends, you pay for the work done up to that point and we hand over what you have paid for.

Complaints and disagreements

If something is not right, write to hello@labs.online. We reply within 5 working days, and we would always rather fix it with you directly.

If you are a consumer, you keep the protection of the law of the country where you live, and you can bring a claim in its courts.
